Acceptance of Terms

By downloading, installing, accessing, or using any Flart Studio software, you automatically and unconditionally agree to be bound by:

This Software License — governing the use of the software and its components
Terms of Service — governing your relationship with Flart Studio
Privacy Policy — governing the collection and use of your data

If you do not agree to these terms, you must not download, install, or use the software. Continued use of the software constitutes ongoing acceptance of the current versions of these documents.

Your agreement is established by conduct — no signature or explicit confirmation is required. The act of downloading or installing creates a binding agreement.

Overview

Flart Studio ("we", "us", "our") develops and distributes software extensions for YOOtheme Pro, Joomla, and WordPress platforms. Our software products use a Split License model, where different components of the same product are governed by different license terms.

Split License Model

Our software products contain two types of components, each governed by separate license terms:

1. GPL-Licensed Components (PHP Code)

All PHP source code files (files with .php extension) are licensed under the GNU General Public License version 2 or later (GPL v2+). This includes all PHP classes, functions, and logic that integrate with Joomla, WordPress, or YOOtheme Pro.

2. Proprietary-Licensed Components (Assets)

All non-PHP components are licensed under the Flart Studio Proprietary License. These proprietary assets include, but are not limited to:

JavaScript files (.js), including minified versions
LESS stylesheets (.less)
CSS stylesheets (.css), including minified versions
SVG graphics and icons (.svg)
Images and graphics (.png, .jpg, .gif, .webp)
Video files (.mp4, .webm, .mov, .avi)
Audio files (.mp3, .wav, .ogg)
JSON configuration files (.json)
HTML templates not integrated with PHP
Documentation, help files, and tutorials
All branding, logos, and trademarks

3. Distribution Package

The software distribution package (ZIP file) as compiled and distributed by Flart Studio is a proprietary product. The specific compilation, arrangement, structure, file organization, and delivery format of the distribution package is proprietary and protected.

The distribution package (ZIP file) may not be modified, repackaged, extracted for redistribution, or altered in any way. Redistribution of the distribution package, whether modified or unmodified, is expressly prohibited.

Flart Studio Proprietary License

Version 1.0 — Effective December 2025

This license governs the use of all non-PHP components ("Proprietary Assets") and the distribution package included in Flart Studio software products. By downloading, installing, or using these assets, you automatically agree to be bound by the following terms.

1. Grant of License

Subject to payment of applicable fees and compliance with these terms, Flart Studio grants you a limited, non-exclusive, non-transferable, revocable license to use the Proprietary Assets solely in connection with websites that you own or manage, and only for the number of websites (domains) specified in your purchased subscription plan.

This license is personal to you and may not be shared with, transferred to, or exercised by any third party.

2. Permitted Uses

You are permitted to:

Install and use the software on websites you own or manage within your subscription domain limits
Install and use the software on client websites you develop or manage, provided each website is counted within your subscription domain limits
Make backup copies for archival purposes only
Continue using the software on installed websites after subscription expiration (lifetime usage rights), subject to domain limits at time of last active subscription

Note: Subscription renewal is required only for receiving software updates and access to support services. Usage rights for installed websites are lifetime, as long as domain limits are respected.

3. Prohibited Actions

You are expressly prohibited from the following actions. Violation of any prohibition will be treated as unauthorized access and may result in immediate enforcement actions.

3.1 Redistribution

Distributing, sharing, publishing, transmitting, or making available the Proprietary Assets or distribution package to any third party, by any means or method
Uploading, posting, or transferring the software to any location accessible by third parties, including but not limited to: file sharing services, cloud storage with shared access, repositories, torrents, FTP servers, peer-to-peer networks, hidden networks, dark web services, private sharing groups, or any other distribution channel
Sharing the software on unauthorized websites or platforms of any kind
Including the Proprietary Assets in any product, theme, template, or package intended for distribution or sale
Providing the software to competitors or for competitive analysis
Repackaging, recompiling, or re-distributing the distribution package in any form

3.2 Modification Restrictions

Modifying, altering, adapting, or creating derivative works from the Proprietary Assets
Modifying, altering, repackaging, or tampering with the distribution package (ZIP file)
Deobfuscating, beautifying, or reverse-engineering minified JavaScript or CSS files
Forking the software or any of its components for any purpose
Merging the Proprietary Assets with other software for distribution

3.3 License and Access Sharing

Sharing, selling, transferring, or disclosing your Download Key, API Key, or license credentials to any third party
Participating in group purchases, license pooling, or any collective buying arrangement
Using a single license or subscription across multiple unrelated organizations or owners
Allowing third parties to access downloads or updates through your subscription
Reselling, sublicensing, leasing, or renting your license rights
Creating multiple accounts to circumvent subscription limits

3.4 Technical Restrictions

Removing, altering, or obscuring any copyright notices, license headers, or attribution
Reverse engineering, decompiling, disassembling, or attempting to derive source code from any compiled, minified, or obfuscated code
Circumventing, disabling, or interfering with any license validation, domain verification, API authentication, or access control mechanisms
Using automated tools, bots, or scripts to extract, copy, download, or redistribute the software
Accessing the software or update servers through unauthorized means
Spoofing, forging, or manipulating license verification requests or responses

3.5 Commercial Restrictions

Selling or offering for sale the Proprietary Assets or distribution package, whether modified or unmodified
Using the software to create a competing product or service
Claiming ownership or authorship of the Proprietary Assets
Using Flart Studio trademarks, logos, or branding without written permission

4. Intellectual Property

All Proprietary Assets, distribution packages, and related materials are and shall remain the exclusive property of Flart Studio. This license does not grant you any ownership rights, title, or interest in the software beyond the limited license expressly granted herein.

All copyrights, trademarks, trade secrets, patents, and other intellectual property rights in the Proprietary Assets are reserved by Flart Studio. The software is protected by international copyright treaties and applicable copyright laws.

Unauthorized use, reproduction, modification, or distribution may result in severe civil and criminal penalties and will be prosecuted to the maximum extent possible under law.

5. Updates and Support

Paid Software

Access to software updates and technical support for paid extensions is provided exclusively to customers who meet ALL of the following conditions:

Have an active, valid subscription for the specific extension in question
Purchased the subscription directly from Flart Studio (flart.studio)
Have valid API credentials
Are requesting support for the extension covered by their active subscription

Important clarifications:

Support is provided on a per-extension basis — you must have an active subscription for the specific extension you need help with
Subscription renewal is required to receive new updates and access support services
We reserve the right to verify license authenticity before providing any support or updates
Support is provided only through official Flart Studio channels (support form at flart.studio, Discord)

Free Software

Free extensions and plugins are provided "AS IS" without any support services.

No technical support is provided for free software
No installation assistance is provided
No customization help is provided
Bug reports are accepted — if you discover a bug, you may report it and we may address it in future updates at our discretion
We are not obligated to fix bugs or release updates for free software

6. License Verification

The software may contain license verification mechanisms that validate your license status. By using the software, you consent to:

Periodic verification of your API Key and subscription status
Collection of domain information for license validation purposes
Automatic disabling of update functionality if license validation fails

Attempts to circumvent, disable, or interfere with license verification constitute a material breach of this license and unauthorized access to our systems.

7. Termination

This license is effective until terminated. It will terminate automatically and immediately without notice if you:

Fail to comply with any term or condition of this license
Engage in any prohibited action listed in Section 3
Provide false information during purchase or registration

Upon termination:

All rights granted under this license cease immediately
You must destroy all copies of the Proprietary Assets in your possession
You must remove the software from all websites and systems
No refunds will be provided for any remaining subscription period or past payments

Sections 3, 4, 7, 8, and 9 shall survive termination.

8. Disclaimer of Warranties

THE PROPRIETARY ASSETS AND DISTRIBUTION PACKAGES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FLART STUDIO DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOU ASSUME ALL RISK AND RESPONSIBILITY FOR THE SELECTION, INSTALLATION, AND USE OF THE SOFTWARE.

9. Limitation of Liability

IN NO EVENT SHALL FLART STUDIO, ITS OWNERS, DIRECTORS, EMPLOYEES, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES.

THIS LIMITATION APPLIES REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF FLART STUDIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

License Violation Enforcement

Flart Studio has zero tolerance for license violations.

We actively monitor for unauthorized distribution, license sharing, modification attempts, and circumvention attempts. All legitimate purchases are logged and can be verified. We employ technical measures to detect unauthorized use.

Upon detection or confirmation of any violation, we will treat the violation as unauthorized access to our systems and intellectual property. The following enforcement actions will be taken immediately and without prior notice:

Enforcement Actions

Immediate Account Termination Your Flart Studio account will be permanently suspended without possibility of reinstatement. This ban is lifetime and cannot be appealed.
Complete Access Revocation All Download Keys, API Keys, and license credentials associated with your account will be immediately and permanently disabled.
Infrastructure Ban Access from your entire server infrastructure will be permanently blocked, including:
- All IP addresses associated with your account
- All domains registered to your account
- All related networks and hosting infrastructure
No Refund No refunds will be provided for any reason. All payments made are forfeited.
Legal Action We will pursue all available legal remedies, including but not limited to:
- DMCA takedown notices to hosting providers and platforms
- Cease and desist orders
- Civil litigation for damages and injunctive relief
- Claims for statutory damages under copyright law
- Recovery of legal fees and enforcement costs
Criminal Referral Serious violations, including circumvention of access controls and unauthorized distribution, may be reported to relevant law enforcement authorities for criminal prosecution under applicable computer crime and copyright laws.

These enforcement actions are cumulative and non-exclusive. Taking one action does not waive our right to take additional actions. Flart Studio reserves all rights and remedies available under applicable law.

DMCA and Copyright Enforcement

Flart Studio vigorously protects its intellectual property rights.

If our software is found distributed without authorization on any website, platform, network, or service — regardless of whether it is publicly accessible or hidden — we will:

File DMCA takedown notices with hosting providers and platforms
Report the violation to search engines for delisting
Pursue the uploader/distributor through all available legal channels
Maintain records for potential litigation

We maintain comprehensive records of all legitimate purchases and can verify the authenticity of any license claim. If you are unsure whether your copy is legitimate, contact us immediately.

Governing Law and Dispute Resolution

This license and any disputes arising from it shall be governed by applicable international copyright law, including the Berne Convention for the Protection of Literary and Artistic Works, and the WIPO Copyright Treaty.

For any disputes, the parties agree to first attempt resolution through direct communication via https://flart.studio/contacts. If a dispute cannot be resolved informally within 30 days, either party may pursue legal remedies in courts of competent jurisdiction.

Copyright infringement claims may be pursued under the laws of any jurisdiction where infringement occurs, including but not limited to DMCA (United States), EUCD (European Union), or equivalent laws in other jurisdictions.

Severability

If any provision of this license is held to be unenforceable, invalid, or illegal by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable while preserving the original intent, or if modification is not possible, shall be severed from this license.

The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

Entire Agreement

This license, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Flart Studio regarding the software and supersedes all prior agreements, representations, and understandings.

No amendment or modification of this license shall be binding unless in writing and published by Flart Studio.

Unauthorized reproduction, modification, or distribution of this software, or any portion of it, may result in severe civil and criminal penalties, and will be prosecuted to the maximum extent possible under law.
