Software License and Acceptance

This Software License is granted by Anatoliy Kulbabskyy, operating as Flart Studio ("Flart Studio", "we", "us", or "our").

This License governs Flart Studio software and the individual components included in it. It should be read together with our Terms of Service. Capitalized terms not defined here have the meanings given in those Terms.

By downloading an Official Distribution Package, accessing Proprietary Assets, installing the Software, or using Proprietary Assets after being given access to this License, you accept and agree to be legally bound by this License and the applicable Terms of Service. Your acceptance is manifested by your conduct; no signature or separate checkbox is required to the extent permitted by applicable law.

You acknowledge the Privacy Policy, which explains how personal data is processed. If you do not agree, do not download an Official Distribution Package or access, install, or use the Proprietary Assets.

If you act for a business or other organization, you represent that you have authority to accept this License on its behalf.

Nothing in this License excludes or restricts rights that cannot lawfully be excluded or restricted.


Definitions

  • "GPL Components" means the components identified below as licensed under the GNU General Public License version 2 or later.
  • "Proprietary Assets" means the Flart Studio materials identified below as governed by the proprietary terms of this License.
  • "Official Distribution Package" means the ZIP archive or other complete package compiled and distributed by Flart Studio through an authorized channel.
  • "Site" means a website or domain counted against the limit included in the applicable Subscription or product entitlement.
  • "AI System" means any system, service, software, or model that uses artificial intelligence, machine learning, a large language model, generative AI, or comparable model-based technology, including an AI code assistant, whether hosted by a third party or operated locally.

Component-specific copyright notices, license headers, and third-party notices form part of this License. If a component is accompanied by a separate license notice, that notice controls the rights in that component.


Split-License Structure

The Software contains components governed by different licenses. No package-level or proprietary term in this document changes the license applicable to an individual component.

GPL Components

All PHP source code authored by Flart Studio and distributed as part of the Software is licensed under the GNU General Public License version 2 or later (GPL v2+). Third-party PHP code remains governed by its applicable license notices.

The GPL license text is available at gnu.org/licenses/gpl-2.0.html.

Your rights and obligations concerning GPL Components are determined by the GPL and any applicable component-specific notices. Nothing in the proprietary terms below is intended to restrict rights granted by the GPL.

Proprietary Assets

Unless a separate license notice states otherwise, original non-PHP materials authored or owned by Flart Studio are Proprietary Assets. They include, where present:

  • JavaScript and related compiled or minified files;
  • CSS and LESS stylesheets;
  • SVG graphics, icons, images, video, and audio;
  • JSON and XML configuration or manifest files;
  • HTML templates and other non-PHP templates;
  • documentation, help content, and tutorials; and
  • Flart Studio branding, logos, and trademarks.

Third-party materials remain the property of their respective owners and are governed by their own notices and licenses.

Official Distribution Package

An Official Distribution Package contains GPL Components, Proprietary Assets, and package-level materials. Flart Studio retains its rights in the original selection, arrangement, package structure, metadata, branding, and Proprietary Assets included in that package.

The rights applicable to an individual component remain unchanged when that component is included in the package. However, no right to an individual component grants a right to redistribute the Official Distribution Package or its Proprietary Assets as a whole.


Package Integrity and Attribution

An Official Distribution Package may contain copyright notices, integrity data, archive metadata, and individualized package or build identifiers used to authenticate official downloads, detect alteration, and attribute unauthorized distribution.

You may extract the package as necessary for an authorized installation and may make reasonable backup copies for your own authorized use. You may not:

  • alter, tamper with, or repackage the Official Distribution Package itself;
  • remove, falsify, or obscure package identity, attribution, integrity data, copyright notices, or license notices;
  • present a modified or unofficial package as an official Flart Studio package; or
  • redistribute the package, whether modified or unmodified.

These package restrictions do not limit rights granted by the license applicable to an individual component after lawful extraction. A package that no longer matches its official integrity data may be treated as modified or unofficial for authentication, update, and support purposes. An integrity mismatch alone does not, without supporting evidence, establish that a particular person committed an infringement.


Proprietary License Grant

Subject to payment of applicable fees, the purchased plan, and compliance with this License and the Terms of Service, Flart Studio grants you a limited, non-exclusive, non-transferable license to use the Proprietary Assets solely as part of the Software on Sites that you own or manage, up to the Site or domain limit included in the applicable Subscription.

For Software made available without charge, the grant applies within the scope stated on its product page or accompanying notice. Free Software does not include an entitlement to support, maintenance, or future updates unless expressly stated.

No ownership right in Proprietary Assets, an Official Distribution Package, or any Flart Studio intellectual property is transferred to you.

Permitted Use

Within the applicable Site or domain limit, you may:

  • install and use the Software on Sites that you own or manage;
  • install and use the Software on a client Site that you develop or manage, provided that the Site is counted against your applicable limit and no Credentials or distribution rights are transferred to the client;
  • make reasonable backup copies solely for your own authorized use; and
  • continue using a version lawfully installed during an active Subscription after that Subscription expires, while this License remains in force and the applicable Site or domain limit is respected.

Expiration of a Subscription ends access to new downloads, updates, and support. It does not by itself terminate the permitted continued use described above.


Restrictions on Proprietary Assets and Package Rights

Except where expressly permitted by this License, a component-specific license, or applicable law, you may not perform the following acts.

Unauthorized Distribution

You may not:

  • publish, upload, distribute, share, transmit, sell, sublicense, rent, lease, or otherwise make Proprietary Assets or an Official Distribution Package available to another person;
  • place Proprietary Assets or a package in a public or shared repository, file sharing service, marketplace, cloud folder, peer-to-peer network, or other location accessible to unauthorized persons;
  • include Proprietary Assets or an Official Distribution Package in another product, theme, template, service, bundle, or package intended for distribution; or
  • provide, disclose, or make Proprietary Assets or an Official Distribution Package available to a competitor or to any person acting for or on behalf of a competitor; or
  • use an entitlement or Account to obtain Software for redistribution, resale, license pooling, group purchasing, or another unauthorized collective arrangement.

Unauthorized Modification or Exploitation

You may not:

  • modify, adapt, translate, or create derivative works from Proprietary Assets;
  • fork, clone, mirror, or maintain a derived version of any Proprietary Asset or Official Distribution Package;
  • copy or substantially reproduce the original selection, arrangement, package structure, taxonomy, file organization or naming, or build and delivery metadata for a derived, substitute, or competing distribution;
  • deobfuscate, beautify, decompile, disassemble, or reverse engineer proprietary compiled, minified, or obfuscated code;
  • acquire, study, copy, or use Proprietary Assets or an Official Distribution Package for or on behalf of a competitor for the purpose of reproducing protected expression, designs, assets, organization, or functionality in a competing product or service;
  • claim ownership, authorship, sponsorship, or original creation of any Proprietary Asset, Official Distribution Package, or protected Flart Studio material; or
  • remove or alter proprietary copyright, license, attribution, branding, or trademark notices.

This subsection does not prohibit an activity that cannot lawfully be restricted, including any limited activity expressly permitted by mandatory law.

AI and Automated Analysis

Without prior written permission from Flart Studio, you may not:

  • upload, submit, disclose, transmit, or otherwise provide any Official Distribution Package, Proprietary Asset, package-level material, or any portion of them to an AI System;
  • process those materials with an AI System, whether hosted or local, for analysis, indexing, embedding, training, fine-tuning, evaluation, benchmarking, inference, code generation, transformation, reconstruction, or dataset creation;
  • include those materials in a prompt, context window, retrieval corpus, knowledge base, training set, evaluation set, or other machine-readable collection used by an AI System;
  • permit an AI provider or operator to retain, reuse, learn from, or create derived material from them; or
  • use an AI System or its output to reconstruct, fork, clone, adapt, or create a derived, substitute, or competing version of Proprietary Assets or an Official Distribution Package.

This section does not impose additional restrictions on standalone material actually governed by the GPL to the extent that the GPL grants the relevant right. That exception does not extend GPL rights to Proprietary Assets, package-level materials, Credentials, or any complete or partial Official Distribution Package. Activities that cannot lawfully be prohibited also remain unaffected.

Credentials, Entitlements, and Site Limits

You may not:

  • share, sell, transfer, publish, or disclose Credentials to an unauthorized person;
  • permit another person or organization to obtain downloads, updates, or support through your Account or Subscription;
  • use a single Account, Subscription, or proprietary license as a shared pool across unrelated persons, organizations, or owners, even where the numerical Site limit has not been exceeded;
  • use the Proprietary Assets on more Sites than the applicable plan permits;
  • create or use Accounts, identities, or technical arrangements to evade Site, Subscription, download, or access limits; or
  • resell, sublicense, lease, or transfer proprietary license rights without our prior written authorization.

Access and Security Controls

You may not:

  • circumvent, disable, manipulate, or interfere with authentication, entitlement, Site or domain verification, package attribution, security, or access controls;
  • forge or manipulate requests, responses, identifiers, or Credentials used to authorize downloads, updates, support, or other protected Services;
  • obtain Software or access protected systems through unauthorized means; or
  • use automated requests in a manner that extracts protected content or unreasonably burdens or disrupts the Services.

Downloads, Updates, and Support

Access to downloads, updates, and support is an entitlement of an active Subscription, not part of the lifetime-use permission for a previously installed version.

For paid Software, access may require:

  • an active Subscription for the specific Software;
  • a purchase made directly through flart.studio;
  • a valid Account and Credentials;
  • compliance with the applicable Site or domain limit; and
  • compliance with this License and the Terms of Service.

We may authenticate Credentials and verify the applicable Subscription, product, and Site or domain entitlement before authorizing downloads, updates, or support.

The scope and exclusions of support are stated in the Terms of Service.


Intellectual Property

Flart Studio retains all rights, title, and interest in the Proprietary Assets and other Flart Studio materials that are not expressly granted by this License. All rights not expressly granted are reserved.

Flart Studio names, logos, and branding may not be used in a way that suggests sponsorship, endorsement, or affiliation without prior written permission.

Nothing in this section claims ownership of third-party materials or changes the license applicable to GPL Components.


Suspension, Termination, and Enforcement

Intentional Public Distribution

Intentionally publishing, uploading, selling, or otherwise making paid Proprietary Assets or a paid Official Distribution Package available for unauthorized public or third-party download is a serious and intentional material breach. It can cause substantial and continuing commercial harm, particularly where the package is made available through a warez site, public repository, file-sharing service, marketplace, shared storage, peer-to-peer network, or comparable distribution channel.

Where reliable evidence confirms such intentional distribution, or a deliberate attempt to conceal its source or evade enforcement, we may act immediately and without prior notice to:

  • permanently terminate the entire Account and all associated Subscriptions, Credentials, entitlements, and proprietary license grants, including those for Software other than the product found in unauthorized distribution;
  • permanently revoke all access through that Account to downloads, updates, support, and other protected Services;
  • refuse, suspend, or terminate any later Account, Subscription, Credential, or entitlement created, acquired, controlled, or used by the same person or organization, or by another person acting on its behalf, to evade enforcement;
  • restrict related Accounts or access reasonably shown to be used to continue or evade the violation;
  • block related account, entitlement, payment, domain, network, IP, device, or infrastructure identifiers where reliable evidence shows that they are controlled or used by the same violator to continue or evade the violation, while reasonably avoiding restrictions on unrelated users;
  • preserve relevant evidence and notify hosting providers, platforms, search engines, payment providers, or other intermediaries;
  • submit copyright or other lawful takedown notices;
  • seek injunctive relief, recoverable damages, and recoverable enforcement costs; or
  • refer suspected unlawful conduct to competent authorities where appropriate.

Termination for confirmed intentional unauthorized distribution is permanent. There is no contractual right to reinstatement, restoration of access, or a replacement Account. We may correct a demonstrated identity or evidentiary error, and nothing in this paragraph limits a remedy that applicable law requires.

No refund is due in respect of any Account, Subscription, proprietary license, or entitlement terminated as a consequence of confirmed intentional unauthorized distribution, except where a refund or other remedy is required by applicable law. Failure or refusal by a third-party platform or intermediary to act on a takedown request does not limit our right to enforce this License against the responsible Account or licensee.

Other Material Breaches

We may investigate suspected violations and preserve relevant evidence. For an intentional or serious material breach, including credential sharing, deliberate removal of package attribution, or circumvention of access controls, we may take proportionate action to:

  • suspend or terminate the affected Account or Subscription;
  • disable affected Credentials and revoke access to downloads, updates, and support;
  • terminate the proprietary license granted by this document to the extent permitted by law;
  • restrict related Accounts or access reasonably shown to be used to continue or evade the violation;
  • notify hosting providers, platforms, search engines, payment providers, or other intermediaries and submit copyright or other lawful takedown notices;
  • seek injunctive relief, recoverable damages, and recoverable enforcement costs; or
  • refer suspected unlawful conduct to competent authorities where appropriate.

The remedies in this section are cumulative. Taking one action does not waive any other available right or remedy.

For a non-intentional breach that is reasonably capable of remedy, we may provide notice and an opportunity to cure. A person who believes enforcement resulted from a mistake may contact us and provide relevant evidence. We are not required to restore access while a continuing infringement, fraud, or security risk is being investigated.

No refund is due for an Account or entitlement terminated because of another confirmed intentional material breach, except where a refund or other remedy is required by applicable law. All other refund questions are governed by the Refund Policy.

Effect of Proprietary License Termination

When the proprietary license granted by this document terminates, you must stop using and delete the affected Proprietary Assets and Official Distribution Packages in your possession or control, except to the extent retention is required by law.

Where termination follows confirmed intentional public distribution, this obligation applies to all Proprietary Assets and Official Distribution Packages licensed through the terminated Account, not only the product identified in the unauthorized distribution.

Termination of proprietary rights does not change rights that cannot be withdrawn under the license applicable to an individual component. GPL Components remain governed by the GPL.

The restrictions concerning Proprietary Assets and package rights, intellectual property, enforcement, liability, dispute resolution, and accrued obligations survive to the extent necessary to give them effect.


Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Software, Proprietary Assets, and Official Distribution Packages are provided "as is" and "as available" without express or implied warranties beyond those expressly stated, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and availability.

We do not guarantee that the Software will:

  • meet every individual requirement or intended use;
  • operate without interruption, delay, error, or security incident;
  • remain compatible with unsupported or changed third-party environments;
  • produce a particular result; or
  • have every defect corrected.

This section does not exclude statutory guarantees, conformity obligations, or other mandatory rights that apply to consumers.


Limitation of Liability

To the maximum extent permitted by applicable law, Flart Studio will not be liable for indirect, incidental, special, or consequential loss, including loss of profit, revenue, data, goodwill, business opportunity, use, or business continuity, or for the cost of substitute products or services, arising from the Software, regardless of the legal theory asserted and even if the possibility of such loss was known.

Where liability may lawfully be limited, our aggregate liability arising from the affected Software will not exceed the amount paid for it during the twelve months preceding the event giving rise to the claim.

Nothing in this License excludes or limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, breach of mandatory consumer rights, or any other liability that cannot lawfully be excluded or limited.


Governing Law and Disputes

This License is governed by the laws of Ukraine, without regard to conflict-of-law rules. If you are a consumer, this choice does not deprive you of mandatory protection provided by the law of the country where you habitually reside.

Before commencing formal proceedings, we encourage you to contact us and allow a reasonable opportunity to resolve the dispute. This does not prevent either party from seeking urgent relief, protecting intellectual property, exercising a right within an applicable limitation period, or using any mandatory statutory or regulatory remedy.

Disputes may be brought before any court having jurisdiction under applicable law. Unauthorized distribution or infringement may also be addressed in any jurisdiction where lawful enforcement or relief is available.


Amendments

We may update this License for legal or regulatory requirements, security and abuse prevention, technical or operational changes, or legitimate changes to the Software or our business.

The updated License will be published on the Website. Where appropriate, we will provide reasonable notice of a material change affecting an active paid Subscription.

Changes apply from their stated effective date and do not retroactively remove rights already acquired under a completed purchase or an applicable component license, except where required by law or where an updated agreement is lawfully made part of the applicable terms. A Software version lawfully obtained before that date remains subject to the license terms applicable when it was obtained unless an enforceable later agreement applies.


General Terms

Severability

If a provision is held invalid or unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect.

No Waiver

Failure to enforce a provision is not a waiver of the right to enforce it later. A waiver must be express and applies only to the matter for which it is given.

Entire Agreement

This License, together with the Terms of Service, applicable purchase or product-specific terms, and the licenses and notices accompanying individual components, forms the agreement governing rights in the Software. The Privacy Policy explains how personal data is processed, and the Refund Policy governs refund review and processing.
